Free zone or mainland? A founder’s guide to UAE setup
What the official UAE government guidance says, and the questions to ask before you choose.
Startup Roof Editorial · 14 Sept 2026
The right structure depends on who you sell to. The UAE government portal explains that free zone companies operate under a different legal framework from mainland businesses: they can trade within their free zone and internationally, while access to the UAE mainland market is regulated.
According to the same guidance, a free zone company that wants to sell goods or services locally generally works through a licensed mainland distributor, sets up a mainland branch or company, or obtains the required mainland licences or approvals.
Free zone setup starts with choosing a sector and a free zone, deciding the legal entity and a trade name, and applying to the free zone authority for a licence. Not every free zone registers every type of company, so check with the authority you are considering.
Mainland setup runs through the licensing authority of the emirate. The government portal also covers full foreign ownership of commercial companies on the mainland, which applies to many activities.
Before choosing, map your first 20 customers. Are they in a free zone, on the mainland, or abroad? Then compare total setup cost, office requirements and visa needs for each option.
